Legal Entity Notice

These Terms of Service are entered into between you and Mychanic.ai LLC, a limited liability company organized under the laws of the State of Utah. Any reference to "Mychanic," "we," "us," "our," or "Company" in these Terms refers to Mychanic.ai LLC.

1. Agreement to Terms

By accessing and using Mychanic.ai LLC's Service, you agree to be bound by these Terms of Service. By creating an account and affirmatively checking the "I agree to the Terms of Service" checkbox during registration, you acknowledge that you have read, understood, and agree to all terms, conditions, and disclaimers contained herein. If you do not agree to abide by these terms, please do not use this service.

2. Service Nature and Professional Use Only

2.1 Educational Guidance Only

Mychanic is an educational and informational tool designed to provide diagnostic guidance to automotive professionals. Mychanic is NOT:

  • A substitute for professional mechanical service
  • A licensed mechanical diagnostic service
  • Providing professional repair recommendations
  • Offering warranties or guarantees of accuracy

2.2 Professional Use Requirement

Mychanic is intended for use only by automotive professionals, technicians, shop owners, and ASE-certified mechanics. If you are a consumer seeking vehicle diagnostics, you must consult with a licensed professional mechanic in person.

3. Disclaimer of Accuracy and Warranty Disclaimer

CRITICAL: Mychanic is a GUIDE, not a guarantee of accuracy.

3.1 Non-Expert Service

Mychanic provides diagnostic guidance and educational information regarding vehicle issues. The Service is designed to assist and guide automotive professionals and technicians, NOT to provide exact diagnostics. All information provided should be treated as guidance only and not as a definitive diagnosis.

3.2 No Guarantees of Exactness

Mychanic explicitly does NOT claim to be exact, exhaustive, or comprehensive in its diagnostic suggestions. Diagnostic codes, symptoms, and recommendations provided by Mychanic may not represent all possible causes or solutions for vehicle issues. Vehicle diagnostics are inherently complex and multifaceted; therefore, professional judgment and in-person inspection are always required for accurate diagnosis.

3.3 EXPRESS DISCLAIMER OF WARRANTIES

MYCHANIC IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • NO WARRANTY OF MERCHANTABILITY
  • NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE
  • NO WARRANTY OF NON-INFRINGEMENT
  • NO WARRANTY OF ACCURACY, COMPLETENESS, OR RELIABILITY
  • NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE

4. Limitation of Liability

4.1 Exclusion of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MYCHANIC AND ITS OWNERS, OPERATORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any direct, indirect, incidental, special, consequential, or punitive damages
  • Lost profits, lost revenue, lost data, or business interruption
  • Damage to property or personal injury resulting from vehicle repair or diagnostics
  • Incorrect diagnoses or missed vehicle issues
  • Costs associated with vehicle repairs based on Mychanic recommendations
  • Third-party claims arising from use of the Service
  • Customer claims or disputes related to diagnostic accuracy

4.2 Liability Cap

NOTWITHSTANDING ANY OTHER PROVISION OF THESE TERMS, MYCHANIC'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO MYCHANIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF YOU HAVE NOT PAID MYCHANIC ANYTHING, MYCHANIC'S LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

4.3 User Responsibility

Users acknowledge and agree that they are solely responsible for:

  • Verifying all information provided by Mychanic through professional channels
  • Consulting with licensed mechanics or ASE-certified technicians before making repair decisions
  • Conducting thorough physical inspections of vehicles
  • Making final diagnostic and repair decisions
  • Ensuring professional competence before using Mychanic output

5. Indemnification

You agree to indemnify, defend, and hold harmless Mychanic and its owners, operators, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service
  • Repair decisions based on Mychanic output
  • Customer claims or disputes related to diagnostics or repairs you performed
  • Your violation of these Terms of Service
  • Your violation of any applicable law or third-party rights

6. Binding Arbitration and Class Action Waiver

6.1 Agreement to Arbitrate

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE SETTLED BY BINDING ARBITRATION, NOT IN COURT. This includes any claims arising before these Terms take effect.

6.2 Exceptions

The following disputes are NOT subject to arbitration:

  • Claims for intellectual property infringement
  • Claims seeking injunctive relief to prevent intellectual property infringement
  • Small claims court actions (if eligible)

6.3 Class Action Waiver

YOU AGREE THAT YOU MAY ONLY BRING CLAIMS AGAINST MYCHANIC ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. You waive your right to participate in any class action lawsuit.

6.4 Arbitration Procedures

Arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitrator shall apply applicable substantive law and may award any relief that would be available in court. The arbitration shall take place in Salt Lake County, Utah.

6.5 Arbitration Fees and Costs

Mychanic will pay all AAA arbitration filing and administrative fees for any individual arbitration, including any fees that would exceed those required to file a claim in small claims court. If you bring an arbitration claim, you will be responsible for your own attorney's fees unless otherwise provided by applicable law. For claims of $75,000 or less, Mychanic will pay all AAA fees to the extent required by law.

7. Use of Service

7.1 Permitted Use

You agree to use Mychanic solely for educational and guidance purposes in automotive diagnostics. You agree not to:

  • Rely solely on Mychanic output for making critical repair decisions
  • Provide Mychanic recommendations to customers as a professional diagnosis without professional verification
  • Misrepresent Mychanic output as a professional diagnostic service
  • Use the Service for any illegal or fraudulent purpose
  • Attempt to bypass, hack, or disrupt the Service
  • Reverse engineer or attempt to derive the Service's underlying algorithms

7.2 Professional Judgment Required

Professional judgment and hands-on inspection are irreplaceable. You must always apply your own expertise, experience, and professional standards when making diagnostic conclusions.

8. Intellectual Property Rights

The Service and all its content, features, and functionality (including but not limited to all information, software, code, and text) are owned by Mychanic, its licensors, or other providers of such material and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or transmit any content without Mychanic's prior written permission.

9. Termination

Mychanic may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you violate any provision of these Terms of Service.

11. Force Majeure

Mychanic shall not be liable for any failure or delay in performing its obligations under these Terms or providing the Service to the extent that such failure or delay results from events or circumstances beyond the reasonable control of Mychanic, including but not limited to: natural disasters, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, or strikes. This provision does not excuse Mychanic's obligation to use reasonable efforts to mitigate the impact of such events.

10. Modifications to Service and Terms

Mychanic reserves the right to modify or discontinue the Service at any time. Mychanic may also modify these Terms at any time. If we make material changes to these Terms, we will provide you with at least 30 days' notice via email or through a prominent notice on our Service. Your continued use of the Service after the notice period constitutes acceptance of the modified terms. If you do not agree to modified terms, you must discontinue use of the Service. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

12. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. You irrevocably consent to the jurisdiction of the arbitrator or, if arbitration is not permitted, the courts located in Salt Lake County, Utah.

13. Term and Entire Agreement

These Terms of Service constitute the entire agreement between you and Mychanic.ai LLC, and supersede all prior agreements and understandings. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Your acceptance of these Terms is evidenced by your checking the affirmative consent checkbox during account registration and the timestamp logged at that moment.
